Athabasca Minerals Inc. Announces Closing of Corporate Sale to Badger Mining Corporation at a Value of $29.2 Million

Edmonton, Alberta–(April 26, 2024) – Athabasca Minerals Inc. (TSXV: AMI), together with its subsidiaries (collectively, “Athabasca” or the “Corporation”) announces today that it has closed the previously announced transaction (the “Transaction“) contemplated by the subscription agreement (the “Agreement“) between the Corporation and Badger Mining Corporation (“Badger” or the “Purchaser“) providing for the acquisition of the Corporation by the Purchaser. The Transaction follows the Corporation’s filing of the Notice of Intention under the provisions of Part III, Division 1 of the Bankruptcy and Insolvency Act (Canada) (“BIA”) and its previously announced sales and investment solicitation process (“SISP”). The Transaction was approved by the Alberta Court of King’s Bench (the “Court”) on Friday, April 19, 2024.

BMC donates PPE to local healthcare provider and first responders

TAYLOR, WISCONSIN – April 2, 2020 – Earlier this week, Badger Mining Corporation (BMC) donated a variety of personal protective equipment (PPE) from its Wisconsin facilities to the company’s neighbors at the Mayo Clinic and Blair Fire Department. With the spread of COVID-19 over the past several weeks, hospitals and other organizations across the nation have made urgent calls to businesses and the government for this potentially lifesaving PPE as their supplies have dwindled. In total, BMC was able to donate 89 half-face respirators, 51 respirator filters, 375 full body protective suits, and four powered air purifying respirators to help protect our healthcare providers and first responders, who in this case, are also often friends and fellow community members.

“Throughout our decades here in Jackson County, Badger has always lived by a set of values – two of which are safety and community,” says Mark Hess, Advisory Team member at BMC. “Even in this unprecedented crisis, those values continue to guide our decisions every day. Badger Mining moves into Rocky Mountain House transload, expanding into Cardium Formation

BERLIN, WISCONSIN and CALGARY, ALBERTA – October 30, 2019 – Badger Mining Corporation (BMC), a family-owned industrial sand supplier since 1949, is pleased to announce the signing of a new exclusive terminal agreement with Di-Corp Sand Transloading (DST) for the use of DST’s transload facility in Rocky Mountain House, Alberta, Canada. With this move, BMC further showcases its commitment to delivering best-in-class service delivery and frac sand storage in Western Canada. The new agreement also signals – for the first time – Badger Mining’s expansion into the Cardium Formation, where innovation and advances in technology have led to a resurgence in activity and a bright future for one of the largest resources in North America.

“This expansion into the Cardium highlights our push to be the number one provider of Northern White sand in the Western Canadian Sedimentary Basin,” says Adam Katz, strategic leader of oil and gas sales at BMC. “Canada is our most important market and despite challenging conditions, we will continue to invest and support our customers in the region. Badger in Rocky Mountain House is open for business, and we are delighted to build on our relationship with DST and CN Rail.”

The site, which is easily accessible from Highway 11 and Highway 598, includes 12,000 tons of overhead storage capacity, 90 rail car capacity, less than seven-minute truck loading times, and two loading lanes. The facility will be operated seven days a week, with first shipments available in early November. Badger Mining works with Di-Corp at the company’s Sexsmith location.

Badger Mining wraps up 19th annual special deer hunt

BERLIN, WISCONSIN – October 24, 2019 – The second Sunday of October marked the end of Badger Mining Corporation’s (BMC) 19th year as a company sponsor of the Wisconsin Department of Natural Resources’ (WDNR) annual deer gun hunt for people with disabilities. The WDNR began the hunt in 1990 in order to provide hunting opportunities for individuals with certain disabilities at a time of year when temperatures are generally milder and mobility in the woods and fields is easier. Badger Mining began participating in the program in 2001 for one of its then-associates who was injured in a swimming accident decades ago.

Originally taking place only at BMC’s St. Marie property in Green Lake County, the hunt has since expanded to include BMC’s Fairwater property in Green Lake and Fond du Lac Counties in 2006, its Taylor property in Jackson and Trempealeau Counties in 2008, and its Merrillan property in Jackson County in 2017. Throughout the four properties, BMC accommodated 13 hunters this year over the weeklong season, three of which were new and ten that were returning. This year’s hunters ranged in age from 19 to 84 years old. They came from every corner of the state of Wisconsin and one, formerly from Wisconsin, came from Phoenix, Arizona to participate.

For most of the hunters, the hunt represents more than just a chance to get a deer. Aside from sitting out in the woods and fields during the day, hunters at BMC’s properties also share meals and strike friendships with many of the BMC associates who volunteer to help each year. As one hunter described, “It was something to look forward to and is a special thing that Badger Mining does… The people make you feel welcomed.” And just like the hunters, the associates who volunteer share the range of emotions while experiencing the hunt as guides and helpers.

Over the past 19 years, BMC has touched the lives of 102 different individuals, and even though many hunters found success this year, the deer is only a bonus.

“Regardless of whether they get a deer or not, all the hunters come out of this special program with smiles and new friendships,” says Tiffany Thoma, environmental team associate and special hunt leader at BMC. “And when the hunt is over in the middle of October each year, you cannot help but get excited for next year’s season after hearing the stories and the memories made by each and every participant.”
